These General Terms and Conditions of Sale (GTC) apply to all sales concluded by BATPRO with any individual or legal entity purchasing a product from any of its points of sale (hereinafter the « Customer »). Except for the terms of a contract or commercial agreement duly signed by BATPRO and the Customer, these GTC supersede any conflicting document or other written correspondence and the Customer’s general terms and conditions of purchase, whether the Customer is an individual or a professional. They are deemed accepted without reservation by the Customer upon validation of an order.
BATPRO may modify these GTC at any time and they will be enforceable upon publication.

1 – Orders
– At the end of their online order, the customer views their order summary, which displays the products along with their prices, quantities, estimated delivery times, and payment methods. The customer reviews this summary and, if they accept it, confirms their order by clicking « confirm my order. »

– The information (descriptions, dimensions, weights, images, etc.) contained in catalogs, brochures, advertisements, price lists, and other commercial documents or on our website is provided for informational purposes only and is not binding.

2 – Prices
The prices of products offered on the website are inclusive of all taxes. In addition to the product price, the prices include handling and packaging costs. The prices charged are those in effect on the day the order is placed and shown on the written order confirmation sent to the customer.
Prices have been calculated in accordance with customs and tax legislation, the current exchange rate, and supplier prices. BATPRO reserves the right to modify prices in the event of a change in any of its factors.

 

3- Payment
Payment is due immediately upon ordering. All orders are invoiced and payable in Ariary.
The Customer may pay online by credit card or mobile money, or upon collection at the agency in cash, by credit card, or by mobile money.
For customers with a fixed-term account, payment may be made after the agreed due date by check, draft, or bank transfer.
In the event of non-payment by the agreed due date, any outstanding amount will automatically accrue late payment interest at a rate of 1.5% per month, calculated from the day following the due date shown on the invoice until full payment of the amounts owed.

The Customer will also be liable for the reimbursement of all collection costs incurred.

In the case of payment by check, bank transfer, or mobile money, delivery to the carrier or collection of the goods will only take place once the transfer or check(s) have been fully deposited or after confirmation of receipt of the mobile money payment.
The goods remain the exclusive property of BATPRO until full and final payment has been received.

 

4- Collection – Delivery
Invoiced goods must be collected within a maximum of 7 days from the invoice date. After this period, the customer is deemed to have abandoned the goods to BATPRO and will no longer be able to claim them or request a refund.

4.1. Order collection from BATPRO is free of charge. If the customer chooses to collect their order, BATPRO will contact them when it is ready. Any invoiced order not collected within a maximum of seven (7) days from the invoice date will be released and made available for sale without the customer being entitled to any claim or refund.

4.2. Delivery to Antananarivo and Tamatave is free.
Delivery requests must be indicated with the order, along with a detailed access map if needed, and the contact information of the person receiving the goods at the address provided.

Delivery area limits: Ambohimalaza, Anosiavaratra, Alakamisy Ambohidratrimo, Alakamisy Fenoarivo, Ambatofotsy.

4.3. Delivery time: within 48 hours maximum.

4.4. Delivery Terms:
• Delivery is made by road, subject to the following accessibility conditions: a drivable road allowing passage, maneuvering, and parking of a vehicle with a payload of 5 to 10 tons and dimensions of 7m long x 2.5m wide x 3.5m high.

• Upon unloading, the Customer or their designated representative acknowledges receipt and conformity of the goods on the invoice and delivery note, which must be submitted to BATPRO. Delivery is considered complete and compliant upon delivery, without reservation, of the goods to the location specified by the Customer.

4.5. For deliveries to locations outside the delivery area or to other regions, BATPRO will, at the Customer’s request and expense, arrange delivery of the goods to the carrier of their choice in Antananarivo or Tamatave. Additional transport costs will be borne by the Customer.

Once the goods are in the carrier’s possession, the carrier assumes full responsibility. BATPRO cannot be held liable or responsible in any way for any shortages or breakages.

5- Returns – Warranty – Liability

5.1. Returns are only accepted in exceptional circumstances and with our prior approval. A conformity check will be carried out before the return is approved, upon presentation of the original invoice. Shipping costs for all returned goods are the responsibility of the Customer.

5.2. We do not provide any warranty but pass on the manufacturer’s/supplier’s warranty according to their respective policies. Regarding the suitability of the products for the buyer’s intended purpose, without prior written validation from us, we will not be held liable.

5.3. In the event of an apparent defect or quality issue in a product, duly verified by us, the manufacturer’s warranty, upon acceptance, is limited to the simple replacement of the defective product (or, when replacement is impossible, to repair). This warranty excludes any compensation for damages of any kind and for any reason whatsoever to the buyer, their staff, or any third party resulting from the defect. The warranty period is equal to that granted to us by the product’s manufacturer or supplier according to their own policy. Consumables and raw materials are not covered by the warranty.

5.4. Repair or replacement of a defective product under warranty does not start a new warranty period.

5.5. Products modified by the buyer or a third party, products not used in accordance with their intended purpose, and products used in violation of the manufacturer’s recommendations and/or instructions for use are void. If a warranty claim involves product replacement, the product must be returned by the buyer at their own expense to our After-Sales Service.

5.6. We have no obligation or liability for any loss of opportunity, use, revenue, or profits, lost earnings, or any other direct or indirect damages related to any non-conformity or defect in the products.

5.7. In any event, our liability, if proven, is strictly limited, regardless of the cause, subject matter, or basis of the claim, including any penalties, to the pre-tax amount of the products in question as indicated on our invoices.
